Terms of Service

Mopheus Terms of Service—defining service terms, agent autonomous execution responsibilities, IP ownership, and operational standards.

Effective Date: July 1, 2026
Scope: Mopheus Web UI, API, mop / mopheus CLI tools, and mopheusd daemon runtime.

Welcome to Mopheus. These Terms of Service ("Agreement") are entered into between you (or the organization or entity you represent, "User" or "You") and the Mopheus operating team ("We", "Us", or "Our"). By registering an account, creating or joining a workspace, signing in, or otherwise accessing Mopheus services, you agree to be bound by this Agreement.

If you do not agree to these terms, do not access or use Mopheus.

1. Scope & Service Delivery

1.1 Platform Overview: Mopheus is a collaborative workspace where human teams and AI agents collaborate on tasks, tickets, automated jobs, memory distillation, and daemon task executions.
1.2 Deployment Models:

  • Self-Hosted / Open-Source Edition: Distributed under applicable open-source or commercial self-hosted licenses. You run Mopheus on your own infrastructure and assume full responsibility for operations, availability, and security.
  • Cloud-Managed / SaaS Edition: Hosted multi-tenant service provided by Us, governed by these Terms and associated service tiers.

2. Account Registration & Workspace Governance

2.1 Account Credential Security: You are responsible for safeguarding your login credentials, TOTP two-factor authentication secrets, Personal Access Tokens (moc_ PAT), and daemon session tokens. Any action performed under your account is your responsibility.
2.2 Workspace Administration:

  • Workspace Owners and Admins hold supreme administrative authority over membership, role-based access control (RBAC), credential injection, and ticket lifecycles.
  • Admins must configure appropriate permission levels to ensure only trusted members and agents can trigger executable tasks.

3. AI Agents & Autonomous Execution Terms

3.1 Nature of AI Agents:
Agents in Mopheus are autonomous software workers designed to analyze tickets, generate code, invoke command-line shells (Bash), execute database queries via SwissQL, and initiate SSH commands. Agents are software tools and do not possess independent legal personality or liability.

3.2 Human Oversight & Verification (Human-in-the-Loop):

  • AI outputs are non-deterministic and may contain hallucinations, bugs, or unintended operations.
  • Verification of Critical Tasks: Before assigning production deployments, automated remediation, database schema alterations, or sensitive host operations to agents, you must verify the execution plan, tool calls, and proposed code within sandboxed environments.
  • If you authorize fully unattended agent execution, you accept full responsibility for all commands executed and outcomes produced.

3.3 Sandboxes & Runtime Safety:

  • Mopheus provides filesystem sandboxes, work directory lifecycles, and execution circuit breakers.
  • You agree not to tamper with, disable, or bypass runtime security controls. Disabling protections to run untrusted code is performed entirely at your own risk.

4. Bring Your Own Key (BYOK) & Third-Party Services

4.1 API Key Compliance: When configuring third-party LLM provider credentials (Anthropic, OpenAI, DeepSeek, Google, MiniMax, etc.), you represent that you hold valid licenses and accounts with those providers.
4.2 Adherence to Provider Terms: You agree to abide by the Acceptable Use Policies and terms of service of each configured model provider.
4.3 External Dependencies Disclaimer: Mopheus is not liable for disruptions, rate limits, model deprecations, or API modifications caused by third-party model providers.

5. Intellectual Property Rights

5.1 User Content & Output Ownership:

  • You retain 100% ownership, intellectual property rights, and title to all tickets, descriptions, code, comments, prompt configurations, custom skills, and files uploaded to your workspace.
  • Any code, test suites, documents, or artifacts generated by AI agents in response to your instructions within your workspace are your exclusive property. Mopheus claims zero ownership over user data or generated artifacts.

5.2 Platform IP:
The Mopheus platform, trademarks, logos, user interface design, and documentation are protected by applicable intellectual property laws and international conventions.

6. Acceptable Use Policy

You agree not to use Mopheus to:

  1. Develop, test, or distribute malicious code, ransomware, or exploits;
  2. Conduct unauthorized port scanning, vulnerability exploitation, or denial-of-service attacks via daemon or SSH tools;
  3. Bypass workspace tenant isolation, hijack credentials, or compromise system boundaries;
  4. Store or transmit content that violates applicable laws or infringes third-party rights;
  5. Reverse engineer or decompile proprietary Mopheus components beyond the limits permitted by applicable open-source licenses.

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy immediately.

7. Disclaimer of Warranties & Limitation of Liability

7.1 "AS-IS" Provision:
To the maximum extent permitted by law, Mopheus is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

7.2 Limitation of Liability:
In no event shall Mopheus be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of profits, data loss, business interruption, or system downtime) arising from the use or inability to use the platform or from autonomous agent operations. Our aggregate liability shall not exceed the total fees paid by you to Mopheus in the twelve (12) months preceding the event giving rise to liability.

8. Termination & Data Portability

8.1 Termination: We may terminate or suspend access for violations of this Agreement. You may terminate your account or workspace at any time.
8.2 Data Export: Prior to workspace closure, you may export your ticket archives and memory data using the mop CLI. Upon deletion, data is permanently scrubbed via transactional cascading deletion.

9. Governing Law & Dispute Resolution

9.1 Governing Law: This Agreement is governed by applicable laws without regard to conflict of law principles.
9.2 Dispute Resolution: Any dispute arising out of or related to this Agreement shall be resolved through good-faith negotiation, failing which it shall be submitted to the competent courts of the operating entity's jurisdiction.
